Terms of service

Effective Code Genie Studio LLC

These terms apply when you use codegeniestudio.com and when you work with Code Genie Studio LLC. By using the site you accept them; if you do not, please do not use it. Each project and each website plan also has its own written agreement or order, and where the two differ, that agreement wins.

Who we are

The site is operated by Code Genie Studio LLC, a Texas limited liability company that also does business as RingGenieHub. You can reach us at info@codegeniestudio.com.

Using this website

You may browse the site, contact us and use the free site check, automation plan and app plan for your own purposes. You agree not to:

  • send spam or messages that are unlawful, abusive or misleading;
  • try to break, overload or get around the security, rate limits or spam checks of the site;
  • collect content or data from the site with automated tools at a scale that burdens it;
  • use the site check on sites you do not own or are not allowed to test, or to harm any site;
  • copy the design, code or content of the site for your own use without our written permission.

We may block access for anyone who breaks these rules.

The free site check

The site check shows results returned by Google PageSpeed Insights for a single simulated visit. Results change between runs and devices and are provided for information only. They are not a guarantee of how your site performs for every visitor, and not professional, legal or financial advice. The check is free, and we may limit, change or stop it at any time.

The free automation and app plans

The automation plan and the app plan are written automatically by an AI model from what you enter, and a person from our studio reads them afterwards. The app check verdict follows simple rules from your four answers. Both are first suggestions for information only: they can contain mistakes, they are not a quote, a promise of results or professional, legal or financial advice, and any project we take on is set out in its own written proposal. The plans are free, and we may limit, change or stop them at any time.

Content and trademarks

The text, design, code, images and logos on this site, including the names Code Genie Studio and RingGenieHub and the CG mark, belong to us or to those who licensed them to us. Names, logos and screenshots of client projects belong to their owners and are shown to describe our work. Nothing on the site gives you a license to use them, other than viewing the site.

Our services

We provide website development, mobile app development, CMS development, UI/UX design, AI automation and related services. The scope, price, timeline and deliverables of each project are set out in a written proposal or agreement. Information on this site, prices discussed in conversation and estimates are not binding offers until both of us accept a written proposal or agreement.

Our services are for businesses. To hire us, you must be at least 18 and able to enter into contracts, and if you act for a company, you confirm you may bind it.

The website plan

The website plan is a subscription. For US$149 a month, or US$1,490 a year paid in advance, we design and build a website of up to 12 pages plus a privacy policy and terms page, host it, keep its software and security up to date and make up to 1 hour of edits a month. Edits are changes to existing content, such as text, prices, photos or opening hours; unused time does not carry over to the next month. New pages, new features and other work beyond that are charged at US$70 an hour, and we give you an estimate before we start. What we build for you is confirmed in writing before work begins.

Term and cancellation

The plan has a minimum term of 12 months, counted from your first payment. After that it continues month to month, or year to year if you pay yearly, until either of us ends it with 30 days’ written notice. If you end the plan during the first 12 months, the monthly payments left in that period become due.

Payments

Payments are charged in advance, monthly or yearly. There is no setup fee; your first payment starts the work. If a payment is more than 14 days late, we may take the site offline after telling you by email, and put it back once the payment is made. The price stays the same during the minimum term; after it, we may change the price with 30 days’ written notice, and you may end the plan instead.

Ownership in the plan

The text, photos, logos and other content you give us are always yours. While the plan runs, the design and code of your site belong to us, and you have the right to use them for your business. Once you have made 12 monthly payments or one yearly payment, or paid what is left of the first 12 months, ownership of your site’s design and code passes to you on request: we hand over the files and help move the site to hosting in your name, and from then on hosting is yours to arrange and pay. Layouts, components and tools we use across many sites stay ours, and you receive a permanent licence to use them as part of your site.

Domain

Your domain is registered in your name and renewed with your registrar. Its fees are not part of the plan. If you do not have a domain yet, we help you register one in your name.

If we end the plan

If we stop offering the plan, we give you at least 60 days’ written notice and hand your site over to you at no charge. We may end a plan straight away if it is used for unlawful content or activity, or if payments remain unpaid 30 days after our reminder.

Your responsibilities as a client

You agree to give us accurate and complete information, timely feedback and approvals, and content and materials you have the right to use. You are responsible for the content you supply and for making sure your website or app, including its privacy policy and the data it collects, complies with the laws that apply to your business.

Payment

Payment terms are set in each project agreement. Unless agreed otherwise, invoices are due on receipt. We may pause work while payments are overdue. Payments for the website plan follow the website plan section above.

Ownership

Designs, code and content we create for you remain ours until the project is paid in full. On full payment, ownership passes to you as set out in the project agreement. For the website plan, the ownership rules in the website plan section apply instead. We keep the right to reuse general tools, code libraries and know-how that are not specific to your project. Unless you ask us not to, we may show the finished work in our portfolio.

Confidentiality

Both of us keep confidential the non-public information the other shares during a project, including business plans, data and credentials, and use it only for the project. This does not cover information that is already public or that the law requires us to disclose.

Third-party services

Projects often rely on services we do not control, such as hosting, domain registrars, platforms like WordPress or Shopify, payment providers, AI providers and app stores. Their own terms apply, and we are not responsible for their availability, pricing or changes.

Warranty disclaimer

This website and the free site check are provided "as is" and "as available", without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We do not promise that the site will always be available or free of errors. Any warranty for project work is only what the project agreement states.

Limitation of liability

To the extent the law allows, we are not liable for indirect, incidental, special or consequential damages, including lost profits, revenue or data. Our total liability for any claim related to this website or the free site check is limited to US$100. Our total liability for any claim related to a project or a website plan is limited to the amount you paid us for it in the 12 months before the claim. Nothing in these terms limits liability that cannot be limited by law.

Indemnity

You agree to cover our reasonable costs, including legal fees, if a third party makes a claim against us because of content or materials you supplied, or because you used this website in breach of these terms.

Ending a project

Either party may end a project by written notice, as set out in the project agreement. You pay for the work done up to that date. If a project ends because the client breached these terms or the project agreement, we may keep deposits already paid. The website plan has its own term and cancellation rules, set out in the website plan section.

Our pages link to sites we do not control. We are not responsible for their content, availability or practices.

Governing law and disputes

These terms are governed by the laws of the State of Texas and applicable United States federal law, without regard to conflict of law rules. If a dispute arises, we will first try to resolve it by talking: write to us and give us 30 days to answer. If that fails, the dispute is decided by the state or federal courts located in Texas, and both of us accept their jurisdiction. Either of us may bring a claim in small claims court where it qualifies.

Honest communication

We follow applicable federal and Texas law, including the FTC’s rules on truthful advertising and the Texas Deceptive Trade Practices Act. Everything we say about our work, on this site and in proposals, should be true and checkable. If you find something that is not, tell us.

Privacy

How we handle personal information is described in our privacy policy.

General

These terms and any project agreement are the whole agreement between us on their subject. If a court finds part of them unenforceable, the rest stays in effect. If we do not enforce a right at once, we have not given it up. You may not transfer your rights under these terms without our written consent; we may transfer ours to a successor of our business. Notices and agreements by email count as written.

Changes to these terms

We may update these terms. The effective date at the top shows the current version. Changes apply from that date to your further use of the site and do not affect project agreements already signed.
